Part A
These Terms of Service ("Terms") govern your access to and use of Ditto — the website, mobile applications, APIs, and related services (together, the "Service"). By creating an account, browsing a listing, unlocking a Ditto, listing a venue, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
These Terms apply equally to consumers who browse and unlock offers ("Users" or "Diners") and to businesses that list offers on the platform ("Venues" or "Merchants"), except where a section is explicitly limited to one group.
Ditto is a "doing business as" (DBA) brand operated by Heywire LLC ("Heywire," "we," "us," or "our"). References to "Ditto" throughout this document and elsewhere on the Service refer to Heywire LLC operating under that name. Heywire LLC is the contracting party for all agreements formed under these Terms, and is the data controller referenced throughout the Privacy Policy below.
You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account. You're responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately if you suspect unauthorized use of your account.
Venues must provide accurate business information, hold any licenses required to operate, and are responsible for the accuracy of their own listings, pricing, and redemption rules.
Ditto is a neighborhood discovery network. Venues list Signature Ditto Placements and other promotional offers; Users browse these offers and unlock them on-site via QR scan and location verification. Replay Streaks track return visits within a Venue-defined window to unlock tier-two incentives. Full mechanics, tiers, and pricing for Venues are described on our business pages and may be updated from time to time; the version in effect at the time of a transaction governs that transaction.
Last Call and other in-app prepayment features let Venues sell surplus inventory, dining seats, or pickup slots directly to Users, who pay in advance through the Service and unlock their order with an on-site QR scan.
All purchases made through Last Call, and all in-app prepayments for Signature Ditto items or standard menu items, are final and non-refundable, regardless of whether the item is picked up, once payment has been completed. This includes situations where a User is unable to make it to the Venue before the applicable pickup or redemption window closes. Venues may, at their own discretion, offer a courtesy accommodation, but are under no obligation to do so and Ditto does not process refunds on a Venue's behalf.
Last Call charges no additional platform feature fee on qualifying transactions; a flat, pass-through fee is applied solely to cover payment card processing costs, as disclosed at checkout. This fee is separate from, and unaffected by, listing fees described in our business pricing terms.
Venues are solely responsible for the accuracy, safety, quality, and lawful preparation of any item or service sold through Last Call, and for honoring valid, unexpired redemption codes presented on-site.
Ditto may award points, streak credits, or similar in-app incentives to Users, and may hold or schedule payouts to Venues for redeemed transactions. We reserve the right to remove or deduct points, freeze pending payouts, or place a hold on any account balance, with or without cause or advance explanation — including where we suspect fraud, abuse, a Terms violation, a chargeback or payment dispute, or where required by a payment processor or applicable law. Where a hold or deduction is the result of a good-faith error, contact us at the address below and we'll investigate.

We reserve the right to suspend, restrict, or remove any Venue, Merchant, or User account, with or without cause or explanation, including but not limited to violations of these Terms, suspected fraud, chargebacks, or conduct that we determine, in our reasonable discretion, harms other Users, Venues, or the integrity of the Service.
Where an account is subject to an active dispute, internal investigation, or suspected malicious intent, we may suspend or delete the account while that investigation is ongoing, and pending payouts or point balances may be frozen for the duration of the investigation. We will make reasonable efforts to notify affected parties, except where doing so could compromise an investigation.
If a dispute arises between you and Ditto, or between a User and a Venue that Ditto is asked to help resolve, the parties agree to first attempt to resolve the matter through Ditto's internal support and mediation process before pursuing formal legal action, small claims court, or arbitration. To start this process, contact us using the details in Section 12 below with a description of the dispute and any relevant order or account information.
This internal mediation step does not waive either party's right to pursue legal remedies if the dispute is not resolved within a reasonable time, but is a required first step under these Terms.
The Ditto name, logo, app, website, and underlying software are owned by Heywire LLC and protected by applicable intellectual property laws. Venues retain ownership of their own branding, menu content, and photography submitted to the Service, but grant Ditto a non-exclusive, worldwide license to display that content within the Service and in Ditto's own marketing.
The Service is provided "as is" without warranties of any kind. Ditto is a platform connecting Users and Venues; we are not responsible for the quality, safety, or legality of items or services offered by Venues. To the maximum extent permitted by law, Heywire LLC's total liability arising from your use of the Service will not exceed the greater of $100 or the amount you paid to Ditto in the twelve months preceding the claim.
You agree to indemnify and hold harmless Heywire LLC, its officers, employees, and agents from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party right.
We may update these Terms from time to time. Material changes will be announced in-app or by email where practical. Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.
These Terms are governed by the laws of the State of Washington, without regard to conflict-of-law principles, except where local consumer-protection law requires otherwise.
Part B
This Privacy Policy explains how Heywire LLC, operating as Ditto, collects, uses, and shares information when you use the Service — whether you're a Diner browsing offers, a User posting to the Feed, or a Venue managing a listing.
We use the information above to operate the Service — verifying on-site unlocks, processing payments, powering the Feed and Replay Streaks, providing customer support, detecting fraud, and improving the platform. We also use it to communicate with you about your account, offers, and policy changes.
As part of the Ditto Ads platform, certain consumer information may be shared or sold to third-party advertisers, partners, and data providers — for example, to help Venues and outside brands reach Users with relevant local offers, or to support advertising measurement. This may include information such as general location, purchase and redemption history, and interests inferred from your activity on the Service. We do not sell precise real-time location data or account passwords.
Where applicable law defines this kind of sharing as a "sale" or "share" of personal information (for example, under California's privacy law), we provide the opt-out described in Section 7 below.
We retain account and transaction information for as long as your account is active, and for a reasonable period afterward to comply with legal, tax, accounting, and fraud-prevention obligations.
Depending on where you live, you may have the right to access, correct, or delete your personal information, and to opt out of the sale or sharing of your information under the Ditto Ads platform described in Section 4. To exercise these rights, contact us using the details in Section 12. We will not discriminate against you for exercising any privacy right available to you under applicable law.
We use administrative, technical, and physical safeguards designed to protect your information. No system is completely secure, and we cannot guarantee absolute security of information transmitted to or stored on the Service.
The Service is not directed to children under 13 (or the relevant minimum age in your jurisdiction), and we do not knowingly collect personal information from them. If you believe a child has provided us with personal information, contact us so we can remove it.
Ditto operates in the United States, and information you provide may be processed and stored in the United States. By using the Service, you consent to this transfer and processing.
We may update this Privacy Policy from time to time. We'll update the "Last updated" date above and, for material changes, provide additional notice in-app or by email where practical.
